Orange County Land Records System <br />Page 2 <br />3 <br />SPECIFICALLY, COUNTY and TOWN agree: <br />2 STATEMENT OF AGENCY. <br />That COUNTY will execute an Agreement with VENDOR <br />(see Master Purchase Agreement No. 90— PO101) for the <br />purchase of GIS hardware and software and that: <br />(1) COUNTY will act as contractor for GIS hardware <br />and software, allowing TOWN to execute purchase orders to <br />COUNTY for sale and delivery by VENDOR to TOWN, based on <br />the Master Purchase Agreement's policy of site license <br />status and hardware discounts. COUNTY agrees that it will <br />charge no fee, or add —on, to TOWN for receiving said <br />purchase orders, or for arranging the delivery and <br />installation of said hardware and software. TOWN agrees <br />that it will cooperate fully in the delivery and <br />installation of software and hardware ordered; that it <br />will pay all delivery and installation charges billed by <br />VENDOR as a result of TOWN's purchase order submitted to <br />COUNTY; that it will be responsible for all conditions <br />required by VENDOR to install purchased hardware and <br />software; and, that it will abide by those requirements <br />within Master Purchase Agreement No. 90 —POI01 where <br />VENDOR is.securing its rights of ownership (ARTICLE 16), <br />compensation (ARTICLE 6), infringement (ARTICLE 13), and, <br />"supply" (ARTICLE 20). TOWN agrees to sign those software <br />licenses required by VENDOR, and agrees not to hold COUNTY <br />from ROSCOE E REEVE — VERSION 2 08:40:45 08 MAY 1990 <br />
