ESRI I J Enwortmemal Systems Research Instdute, Inc. .J.J 16 ARTICLE 24 - INTEGRATION INTO CONTRACT This Agreement sets forth the entire agreement and understanding between the parties as to the subject matter hereof and merges all prior discussions between them and neither of the parties shall be bound by any conditions, definitions, warranties, understandings, or representations with respect to such subject matter other than as expressly provided herein other than in prior existing written agreement between the parties other than as duly set forth on or subsequent to the effective date hereof in writing and signed by a proper and duly authorized representative of the party to be bound. The Appendixes attached hereto to this Agreement are incorporated into this Agreement and made a part thereof. ARTICLE 25 - EXPORT County acknowledges that the software and other technical data licensed under this Agreement are subject to export controls imposed on ESRI and County under the laws and regulations of the United States. This technical data is for use only at the authorized destination licensed by this Agreement. County will not knowingly permit exportation or transshipment in violation of the export laws and regulations of the United States, and County agrees to indemnify and hold ESRI harmless from any and all costs, damages, fines, or other expenses incurred by them by reason of County's violation of this provision. ARTICLE 26 - ATTACHMENTS The following Appendixes are incorporated into this Agreement and therefore made a part hereof. Appendix A - Categories of Software Licenses Appendix B - Hardware Data Appendix C - ESRI Services Appendix D - Support Options Appendix E - Multi -User Machines Appendix F - Software License Agreement Appendix G - ARVINFO User Support Appendix H - Client Information Profile Appendix I - RFP Response A90- P0101/BB -12- 4/17/90
