In the case where the County provides ESRI with software resulting from conversion, <br />revision, extension, or new creation, said software shall be available without cost or with <br />nominal cost to other GIS software users upon request. <br />ARTICLE 21 - CONTRACT ADMINISTRATION AND NOTICE <br />Any notice, request, instruction, or other document pertaining to this Agreement shall be <br />in writing and delivered personally or sent by U.S. Mail, postage prepaid, and addressed as <br />follows: <br />To County: Roscoe Reeve <br />Orange County <br />P.O. Sheron Bealer <br />ESRI <br />380 New York Street <br />Redlands, California 92373 <br />Either party may change the address to which notice is to be sent by giving written notice <br />thereof to the other parry. <br />ARTICLE 22 - FORCE MAJEURE <br />Neither parry shall be liable to the other parry for any delay in performing its obligations <br />under this Agreement or otherwise if such delay arises from any cause or causes beyond the <br />reasonable control of that party or of a subcontractor of that party, including but not limited to labor <br />disputes, strikes, other labor or industrial disturbances, acts of God, floods, lightning, <br />earthquakes, utility or communication failures, war, acts of the public enemy, riots, insurrections, <br />embargoes, blockages, actions, restrictions, regulations or orders of any government, agency, or <br />subdivision thereof. <br />If a delay or failure that the parry anticipates will cause an excusable delay, that party by <br />written notice shall inform the other parry of the anticipated effect of such delay as soon as possible <br />and, in any event, shall give written notice within ten days to the other party, this written notice <br />shall include the steps that the parry is taking to alleviate the problem <br />ARTICLE 23 - ASSIGNMENT <br />County shall not be entitled to assign its rights hereunder, or any of them, without the <br />prior written consent of ESRI. <br />A90-P0101/BB -11- 4/17/90 <br />
