identifying Lessor's security interest in the Equipment, Lessee <br />shall affix and keep the labels upon a prominent place on each <br />item of Equipment. <br />Notwithstanding Lessee's grant of a security interest to <br />Lessor, Lessor shall take no action affecting Lessee's rights, <br />title, or interest in the Equipment; in any additions, repairs, <br />replacements, substitutions, and modifications thereto; or in any <br />proceeds of the foregoing, including any net insurance proceeds <br />derived from loss or damage to the Equipment, except in <br />accordance with the Default and Remedies provisions of this <br />Agreement. <br />(7) INDEMNIFICATION BY LESSEE: To the extent permitted by <br />North Carolina law, Lessee shall hold Lessor harmless from all <br />liabilities, obligations, losses, claims, damages, actions, <br />suits, proceedings, costs and expenses, including attorneys fees, <br />that (a) arise in tort, in contract, under 42 U.S. Code §1983, or <br />under the North Carolina Public Bidding Laws; and (b) arise out <br />of, or connected with, or result directly or indirectly from the <br />Equipment, including without limitation the manufacture, <br />selection, delivery, possession, condition, lease, use, <br />operation, or return of the Equipment. Lessee shall have no <br />indemnification responsibilities with respect to Lessor's income <br />tax obligations except as expressly provided herein. The <br />indemnification responsibilities created by this section shall <br />continue in effect and shall survive the expiration or other <br />termination of this Agreement and shall be terminated only by <br />written agreement of Lessor and Lessee.
