A D D E N D U M <br />Addendum to Master Lease Agreement dated Aua s 1990 <br />and Supplementary Schedule Number and dated the same as the <br />date hereof (Lease), between First Wachovia Leasing Corporation <br />(Lessor) and Orange County, North Carolina (Lessee). <br />It is agreed that the Lease is amended and supplemented as <br />follows. The terms and conditions contained in this Addendum <br />control the Master Lease Agreement and any accompanying <br />schedules. Provisions and requirements of the Master Lease <br />Agreement inconsistent with provisions and requirements of this <br />Addendum are superseded by this Addendum. <br />(1) PERIODIC PAYMENTS: The total Periodic Payments paid to <br />Lessor during the Initial Term will be $82,239.90-- of which <br />$19 726_80 represents interest charges calculated at a rate of <br />7.38% per annum ( "Interest Rate "). Upon expiration of the <br />Initial Term, provided Lessee is not in default, Lessee will have <br />the option to purchase the Equipment for $1.00. <br />(2) ASSIGNMENT OF WARRANTIES: Lessor hereby irrevocably <br />assigns to Lessee whatever claims and rights, including <br />warranties of the Equipment, Lessor may have or acquire <br />concerning the Equipment against the vendor of the Equipment or <br />against any individuals, partnerships, associations, or <br />corporations other than the vendor of the Equipment that are <br />manufacturers, suppliers, or vendors of the Equipment or any <br />portions thereof. <br />This assignment by Lessor shall be binding on Lessor's <br />successors and assigns, shall continue in effect notwithstanding <br />1 <br />
