33 <br /> CONSENT TO ASSIGNMENT OF LEASE <br /> 1. County of Orange,NC ("Landlord"), the landlord under that certain lease <br /> agreement (the "Lease") dated as of June 3, 1997, by and between Builders' Supply & <br /> Lumber Co., Inc., a Michigan corporation ("BSL") and Landlord, hereby consents to the <br /> assignment by BSL of all of its rights and obligations under the Lease to BSL Acquisition <br /> Corp., Inc., a Delaware corporation ("Buyer"). <br /> 2. Landlord hereby certifies to Buyer that: <br /> a. Attached hereto as Exhibit A is a true and complete copy of the <br /> Lease and it has not been modified or amended except as attached. <br /> b. The Lease is in full force and effect; <br /> c. There are no defaults or conditions that with the giving of notice or <br /> passage of time, or both, would constitute a default under the <br /> Lease; <br /> d. That all base and additional rent under the Lease is paid in full; and <br /> e.
