a3 Section XI Special Provisions and Conditions A. Non-discrimination -Grantee agrees not to discriminate by reason of age, race, religion, color, sex, national origin or disability in the administration ofthis Agreement and to abide by the Grant Program and Project policies with respect to the delivery of its Performance Obligations. B. Conflict of Interest -Grantee certifies that to the best of its knowledge neither Grantee nor any agent, subcontractor, employee, board member or officer of the Grantee has any pecuniary interest in the business of the Commission or of the Project and that neither the Grantee nor any person associated with the Grantee in any way has any interest that would conflict in any manner with the performance of the Agreement. Grantee certifies that to the best of its knowledge neither Grantee nor any agent, subcontractor, employee, board member or officer of the Grantee has any pecuniary interest in the business ofthe Commission or of the Project and that neither the Grantee nor any person associated with the Grantee in any way has any interest that would conflict in any manner with the performance of the Agreement. Grantee certifies that the Commission has been supplied and has on file a copy of Grantee's Conflict of Interest Policy prior to receiving any disbursements from the Commission as a result ofthis contract, required by N.C. General Statute § 14.3-6.2. C. Compliance with Laws -Grantee shall at all times observe and comply with all applicable laws, ordinances, rules and regulation of the state, federal and local govenrments D. Non-Assignability -Parties shall not assign any interest in the Agreement; provided, however, that claims for money due to the Grantee from the Commission under this Agreement may be assigned after written notice to and approval from the Commission. E. Personnel -Grantee represents that it has or will secure at its own expense all personnel required to carry, out and perform the scope of services required under this Agreement. Such personnel shall be fully qualified and shall be authorized under state and local law to work on the Project. Such employees shall not be employees of the Commission, F. Restriction on Use oftheFunds-Grantee will expend funds consistent with the terms and conditions of this Agreement, G. Nom Waiver - No failure or waiver or successive failures or waivers on the part of either Party, its successors or permitted assigns, in the enforcement of any condition, covenants, or provisions ofthis Agreement shall be deemed to be a waiver of enforcement for the breach of any other provision in this Agreement or of any subsequent breach of the same or other provision. H. Approvals -All approvals required under this Agreement must be in writing, Attachments -Attachments A, A-I, A-2, A-3, A-4, B, B-I, B-2, C, D, E, E-1, E-2, F and G are attached to this Agreement and incorporated herein as a substantive part of this Agreement. Attached is a form letter which will be used to notify Grantee of the Effective Dates of its additional Grant Cycle(s). The Parties agree when letters are sent to the Grantee, establishing the Effective and Termination Dates of the additional Grant Cycle(s), copies of the letters to the Grantee will be substituted for the form letters and attached to this Agreement as Attachment B-2.
