TAXES AND UTILITIES. Lessor shall pay for all gas, sewer, heat, <br /> light, power and all other utilities and services supplied to the <br /> Premises, except telephone service, which shall be paid by Lessee. <br /> Also included will be emergency power in the event of power fail- <br /> ure. Taxes assessed against the Premises by any lawful authority <br /> shall be timely paid by Lessor. <br /> 11. ASSIGNMENT AND SUBLETTING. Any assignment, transfer, mortgage, <br /> sublease or other transfer or encumbrance of all or any part of <br /> Lessee's interest in this Lease or in the Premises shall be void <br /> unless Lessor has given prior written consent. <br /> 12. DEFAULTS: REMEDIES. <br /> 12.1 Defaults: <br /> The occurrence of any one or more of the following events <br /> shall constitute a material default and breach of this Lease <br /> by Lessee: <br /> a.
