DocuSign Envelope ID:E8C538EF-9595-4E36-A4C9-2CA66C7BE34A <br /> EXHIBIT 3 <br /> PERFORMANCE GUARANTEES <br /> Envision shall provide PBM Services in accordance with the Performance Guarantees specified in <br /> this Exhibit. So long as both parties have executed the Agreement, Envision shall provide Plan <br /> Sponsor with a Performance Guarantee report within ninety (90) days after the end of each <br /> Contract Year. <br /> The total amount of penalties payable by Envision in any Contract Year shall not exceed ten <br /> percent (10%) of Envision's Administrative Fee paid by Plan Sponsor during the applicable <br /> Contract Year for on-going Performance Guarantees with no more than ten percent (10%) to be <br /> allocated towards one performance area. In addition, Envision is offering a one-time <br /> implementation performance guarantee with $5,000 at risk. Failure to meet Performance <br /> Guarantees shall not be deemed to be a breach of this Agreement. Unless otherwise noted in this <br /> Exhibit, Performance Guarantees shall be measured annually on a client specific basis. <br /> Upon receipt of Envision's annual Performance Guarantee report, if Envision failed to meet any of <br /> the Performance Guarantees noted in this Exhibit and Plan Sponsor desires to assess penalties,then <br /> Plan Sponsor will provide Envision with written notice to assess a penalty upon receipt of <br /> Envision's annual Performance Guarantee report. Any penalties assessed against Envision pursuant <br /> to this Agreement will be credited against future billings to Plan Sponsor in accordance with the <br /> execution of this Agreement and Envision's standard procedures. <br /> In the event that any failure by Envision to meet any Performance Guarantee is due to a force <br /> maj cure as defined in this Agreement, failure by Plan Sponsor to perform its obligations under this <br /> Agreement, or actions or inactions of Plan Sponsor that adversely impact Envision's ability to <br /> maintain the Performance Guarantee(s), Envision will be excused from compliance with such <br /> Performance Guarantee(s) until such circumstances have been resolved and any existing backlogs <br /> or other related effects have been eliminated. <br /> The following Performance Guarantees shall apply through June 30th, 2020, for service that have <br /> been fully delegated to Envision: <br /> \Pass-through PBMSA(041917) ©Envision Pharmaceutical Services,LLC Page 28 of 41 <br />
