DocuSign Envelope ID:E8C538EF-9595-4E36-A4C9-2CA66C7BE34A <br /> 10.16 Fax Communications: Plan Sponsor agrees that Envision may communicate with Plan <br /> Sponsor via fax, and by doing so, such fax is not a violation of the Telephone Consumer <br /> Protection Act, 47 U.S.C. §227. <br /> 10.17 Notices: All notices required under this Agreement shall be in writing, signed by the <br /> party giving notice and shall be deemed sufficiently given immediately after being delivered by <br /> hand, or by traceable overnight delivery service, or by registered or certified mail (return receipt <br /> requested), to the other party at the address set forth below or at such address as has been given <br /> by proper notice. <br /> 10.18 Representations: Plan Sponsor represents and warrants that (i) it is self-insured single <br /> employer; (ii) the entering into this Agreement for PBM Services is not in violation of any other <br /> agreement; (iii) has no undisclosed conflicts of interest; and (iv) it maintains, and shall continue <br /> to maintain throughout the term of this Agreement, any and all licenses, governmental authority, <br /> or other authorization required to operate an entity of its type. Envision represents that there are <br /> no organizational arrangements that could potentially create a conflict of interest that affects <br /> clinical or financial decisions. In addition, each signatory named below represents and warrants <br /> that he or she (i) has read this Agreement, Exhibits, and other attachments, and fully understands <br /> and agrees to the content therein; (ii) has entered into this Agreement voluntarily; (iii) has not <br /> transferred or assigned or otherwise conveyed in any manner or form any of the rights, <br /> obligations or claims which are the subject matter of this Agreement; and (iv) has the full power <br /> and authority to execute this Agreement. <br /> 10.19 Third Party Administrator/Consultants/Brokers: Unless otherwise stated herein, no <br /> payments shall be made by Envision to any of Plan Sponsor's Third Party Administrators (TPA), <br /> consultants, brokers, or other third party to carry out any of Plan Sponsor's obligations under this <br /> Agreement or for any other reason. <br /> [SIGNATURE PAGE FOLLOWS] <br /> \Pass-through PBMSA(041917) ©Envision Pharmaceutical Services,LLC Page 20 of 41 <br />
