9 <br />281 <br />282 9. Governing Law. This Agreement shall be governed by and in accordance with the laws <br />283 <br />of the State of North Carolina. <br />284 <br />285 <br />10. <br />Term. The term of this agreement shall be from the date first written above and shall <br />286 <br />terminate upon mutual agreement of all parties, which termination shall be made in <br />287 <br />writing and executed with the same formality as this Agreement. Notwithstanding the <br />288 <br />foregoing, any one party may terminate its participation under this Agreement by <br />289 <br />providing written notice to the other parties so long as the terminating party has no <br />290 <br />executable obligations remaining hereunder following the effective date of termination. <br />291 <br />292 <br />11. <br />Appointment of Personnel. Each party's respective Manager shall designate the <br />293 <br />persons to carry out the obligations of that party under this Agreement. <br />294 <br />295 <br />12. <br />Amendments. This Agreement may be amended at any time by execution by all parties <br />296 <br />of a written agreement, <br />297 <br />298 <br />13. <br />Entire Agreement. This Agreement together with the agreements referenced in this <br />299 <br />Agreement, shall constitute the entire understanding between the parties and shall <br />300 <br />supersede all prior understandings and agreements relating to the subject matter hereof <br />301 <br />and may be amended only by written mutual agreement of the parties. <br />302 <br />303 <br />14. <br />Headings. The subject headings of the paragraphs are included for purposes of <br />304 <br />convenience only and shall not affect the construction or interpretation of any of its <br />305 <br />provisions. This Agreement shall be deemed to have been drafted by all parties and no <br />306 <br />purposes of interpretation shall be made to the contrary. <br />307 <br />308 <br />309 <br />[Intentionally left blank.
