• <br /> ARTICLE XIV <br /> MISCELLANEOUS <br /> Section 14.01.Covenants of Corporation. The Corporation agrees that wherever in the Contract <br /> it is stated that the Corporation will notify the Trustee, or whenever the Contract gives the Trustee some <br /> right or privilege, that such part of the Contract shall be as if it were set forth in full in this Indenture. <br /> The Corporation agrees that the Trustee as assignee of the Corporation under the Contract may enforce, <br /> in its name or in the name of the Corporation, all rights of the Corporation and all obligations of the <br /> County under the Contract, for and on behalf of the Owners, whether or not the Corporation is in default <br /> under this Indenture. <br /> Section 14.02.Parties Interested Herein. Nothing in this Indenture expressed or implied is <br /> intended or shall be construed to confer on, or to give to any person other than the County, the <br /> Corporation, the Trustee, and the Owners, any right, remedy or claim under or by reason of this <br /> Indenture or any covenant, condition or stipulation hereof; and all the covenants, stipulations, promises <br /> and agreements in this Indenture contained by and on behalf of the Corporation or the Trustee shall be <br /> for the sole and exclusive benefit of the County, the Corporation, the Trustee, and the Owners. <br /> Section 14.03.Tides, Headings, Captions, Etc. The titles,captions and headings of the articles, <br /> sections and subdivisions of this Indenture have been inserted for convenience of reference only and shall <br /> in no way modify or restrict any of the terms or provisions hereof. <br /> Section 14.04.Severability. If any provision of this Indenture shall be held invalid or <br /> unenforceable by any court of competent jurisdiction, such holding shall not invalidate or render <br /> unenforceable any other provision hereof. <br /> Section 14.05.Governing Law. This Indenture is governed and construed in accordance with the <br /> laws of the State. <br /> Section 14.06.Execution in Counterparts. This Indenture may be executed in several <br /> counterparts, each of which shall be an original and all of which shall constitute but one and the same <br /> instrument. <br /> Section 14.07.Notices. All notices, certificates or other communications shall be sufficiently <br /> given and shall be deemed given when delivered or mailed by certified or registered mail, postage <br /> prepaid, as follows: if to the County, to the <br /> Attention: Finance Director; if to the Corporation, to <br /> , North Carolina , <br /> Attention: President; if to the Trustee, <br /> , Attention: Corporate Trust Department; if to <br /> . Any party listed in this section may, by written notice, designate any further <br /> or different addresses to which subsequent notices, certificates or other communications shall be sent. <br /> Section 14.08.Payments Due on Holidays. If the date for making any payment or the last day <br /> for performance of any act or the exercising of any right, as provided in this Indenture, is a Business <br /> Day, such payment may be made or act performed or right exercised on the next succeeding day not a <br /> Business Day with the same force and effect as if done on the nominal date provided in this Indenture. <br /> 49 <br />
