3L <br /> 1993A BONDS <br /> MATURITY MATURITY <br /> DATE PRINCIPAL INTEREST DATE PRINCIPAL INTEREST <br /> (DECEMBER 1) AMOUNT RATE iDCCEMBER 1) AMOUNT RATE <br /> The 1993B Bonds shall bear interest at the rate of % per annum. <br /> Section 2.04. Execution of the Bonds. The manual or facsimile signature of a duly authorized <br /> officer of the Corporation shall appear on each Bond. Any Bond shall be deemed to have been executed <br /> by a duly authorized officer of the Corporation if signed by a Corporation Representative, but it shall not <br /> be necessary that the same officer sign all of the Bonds executed and delivered hereunder. In addition, <br /> each Bond shall be authenticated by the manual or facsimile signature of an authorized officer of the <br /> Paying Agent and shall have a facsimile of the corporation's seal and of the seal of the Paying Agent <br /> affixed thereto. If any official of the Paying Agent or the Corporation whose signature appears on the <br /> Bonds ceases to be such official before delivery of the Bonds, such signature is nevertheless valid and <br /> sufficient for all purposes, the same as if he had remained in office until delivery. <br /> Section 2.05. Authentication. No Bond is valid or obligatory for any purpose or entitled to <br /> any security or benefit hereunder unless and until executed and authenticated in the manner prescribed <br /> by Section 2.04, and such execution and authentication of any Bond are conclusive evidence that such <br /> Bond has been properly executed and delivered hereunder. <br /> Section 2.06. Delivery of the Bonds. On the execution and delivery of this Indenture, the <br /> Paying Agent shall deliver the Bonds in the aggregate principal amount of$ . Before the <br /> delivery by the Paying Agent of any of the Bonds, there shall be filed with the Trustee: <br /> (a) An originally executed counterpart of the Contract; a certified copy of the <br /> resolution adopted by the governing body of the County, approving the Contract; and a certified <br /> copy of the resolution adopted by the Corporation, approving the Contract; <br /> (b) An original executed counterpart of this Indenture; <br /> (c) An original, executed Deed of Trust; and <br /> (d) An original, executed opinion of Bond Counsel. <br /> Section 2.07. Mutilated, Lost, Stolen, or Destroyed Bonds. If any Bond is mutilated, lost, <br /> stolen, or destroyed, a new Bond may be executed on behalf of the Corporation, of like date, <br /> denomination and series as that mutilated, lost, stolen,or destroyed; provided that the Paying Agent has <br /> received indemnity from the owner of the Bond satisfactory to it and provided further, for any mutilated <br /> Bond, that such mutilated Bond if first surrendered to the Paying Agent, and for any lost, stolen or <br /> destroyed Bond, that there if first furnished to the Paying Agent evidence of such loss, theft, or <br /> destruction satisfactory to the Paying Agent. If any such Bond has become subject to the redemption, <br /> instead of delivering a duplicate Bond, the Paying Agent may pay the same without surrender thereof. <br /> The Paying Agent may charge the Owner of the Bond with its reasonable fees and expenses in this <br /> connection. <br /> 12 <br />
