Permitted Exceptions, and Seven Mile Farm is aware of no other matters that <br /> adversely affect title to the Pump Station Parcel. <br /> (b) Leases. There are no leases, licenses, or other agreements granting any person or <br /> persons the right to use or occupy the Pump Station Parcel or any portion thereof. <br /> (c) Options. Seven Mile Farm has not granted any options nor is Seven Mile Farm <br /> committed nor obligated in any manner whatsoever to sell the Pump Station <br /> Parcel or any portion thereof to any party other than Buyer. <br /> (d) Construction Liens. Seven Mile Farm has not and will not contract for <br /> improvements to be made to the real estate within the Pump Station Parcel prior <br /> to the Closing Date. <br /> (f) Authority. Seven Mile Farm has full power and authority to enter into this <br /> Agreement with regard to the sale of the Pump Station Parcel. This Agreement, when executed <br /> and delivered by a Managers of Seven Mile Farm, will constitute valid and legally binding <br /> obligations of Seven Mile Farm, enforceable in accordance with its terms, except as limited by <br /> applicable bankruptcy, insolvency, reorganization, moratorium, fraudulent conveyance, and any <br /> other laws of general application. <br /> (g) Rgpresentations/Warranties. All representations and warranties contained in this <br /> Agreement are true and correct as of the date of execution of this Agreement and will be true as <br /> of the Closing Date and shall survive Closing and execution and delivery of the Deed and shall <br /> not be merged therein. <br /> 5. DUKE ENERGY EASEMENT: On or before the Closing, Seven Mile Farm will <br /> execute and deliver the Duke Energy Easement attached hereto and incorporated herein as <br /> Exhibit F. <br />
