THE TERMS AND CONDITIONS OF THIS AGREEMENT ARE AS FOLLOWS: <br /> A. PURCHASE AND SALE OF THE FIRST AND SECOND EASEMENT <br /> 1. PURCHASE PRICE: Subject to Article A, Section 7(c), the purchase price for the <br /> First Easement shall be ONE THOUSAND TEN DOLLARS and 84/100 ($1,010.84). Subject to <br /> Article A, Section 7(c), the purchase price for the Second Easement shall be NINE HUNDRED <br /> SIXTEEN DOLLARS and 75/100 ($916.75). The purchase price for the First Easement and the <br /> Second Easement shall be paid in immediately available funds to Seven Mile Farm at the <br /> "Closing" (as defined in Article C, Section 9). <br /> 2. FIRST EASEMENT TERMS: On or before the Closing, Seven Mile Farm will <br /> execute and deliver the deed of easement attached hereto and incorporated herein as Exhibit D <br /> conveying both a permanent Easement and a temporary Easement to Buyer (the "First Deed of <br /> Easement"). The land comprising the permanent easement and the temporary easement subject <br /> to the First Deed of Easement is shown and described on Exhibit A (both permanent and <br /> temporary easement areas are collectively referred to herein as the "First Easement Area"). The <br /> terms contained in the First Deed of Easement along with the covenants and agreements herein <br /> specifically related thereto constitute the entire agreement between Seven Mile Farm and Buyer <br /> in regard to the purchase and sale of the First Easement. <br /> 3. SECOND EASEMENT TERMS: On or before the Closing, Seven Mile Farm will <br /> execute and deliver the deed of easement attached hereto and incorporated herein as Exhibit E <br /> (the "Second Deed of Easement"). The land comprising the permanent easement and the <br /> temporary easement subject to the Second Deed of Easement is shown and described on Exhibit <br /> B (both areas are collectively referred to herein as the "Second Easement Area").
