(x) The final plat of subdivision for the Pump Station Parcel; <br /> (xi) A duly adopted resolution of Seven Mile Farm approving the transactions <br /> outlined herein along with an incumbency certificate naming the Manager specifically authorized <br /> to execute the documents necessary to accomplish the Closing. <br /> (xii) Any other documents reasonably requested by Buyer. <br /> (b) At Closing, Buyer shall execute and deliver to Seller each of the following <br /> documents in form reasonably acceptable to Seven Mile Farm: <br /> (i) The Closing Statement; <br /> (ii) Any other document reasonably requested by Seven Mile Farm. <br /> 3. ENTIRE AGREEMENT: This Agreement embodies and constitutes the entire <br /> understanding between Seven Mile Farm and Buyer with respect to the transaction contemplated <br /> herein and all prior agreements, understandings, representations and statements, oral or written, <br /> are merged into this Agreement. Neither this Agreement nor any provision hereof may be <br /> waived, modified, amended, discharged or terminated except by an instrument signed by the <br /> party against whom the enforcement of such waiver, modification, amendment or discharge or <br /> termination is sought, and then only to the extent set forth in such instrument. <br /> 4. GOVERNING LAW: This Agreement shall be governed by and construed in <br /> accordance with the laws of the State of North Carolina. <br /> 5.
