(b) On request of Buyer, Seven Mile Farm agrees to exercise its best efforts to deliver <br /> to Buyer, as soon as reasonably possible following the signing of this agreement, copies of any <br /> title information in possession of or available to Seven Mile Farm, including, but not limited to, <br /> title insurance policies, attorneys opinions on title, surveys, covenants, deeds, notes, and deeds of <br /> trust and easements relating to the Pump Station Parcel. <br /> (c) Any and all deeds of trust, liens or other charges against the Pump Station Parcel <br /> not assumed by Buyer must be paid and cancelled or released by Seven Mile Farm prior to or at <br /> closing. <br /> C. MISCELLANEOUS PROVISIONS: <br /> 1. BUYER'S CONDITIONS PRECEDENT TO CLOSING: In addition to the <br /> foregoing, with respect to Closing, Buyer shall not be obligated to close unless each of the <br /> following conditions (the "Conditions Precedent") are either fulfilled or waived by Buyer in <br /> writing: <br /> (a) Covenants/Representations. Seven Mile Farm shall have performed all <br /> covenants, agreements and obligations, and shall have complied with all conditions required by <br /> this Agreement to be performed or complied with by Seven Mile Farm prior to Closing, and <br /> Seven Mile Farm's representations and warranties shall be true and correct as of Closing. <br /> (b) Title. The status of title to the First Easement Area, Second Easement Area, and <br /> Pump Station Parcel shall be as required by this Agreement and Buyer's title insurance company <br /> shall be prepared to issue an owner's title insurance policy insuring the easement and ownership <br /> interests in the amount of the Purchase Price subject only to the Permitted Exceptions. <br />
