DocuSign Envelope ID:874D086C-148C-418A-B140-732EE045A830 <br /> NORTH CAROLINA <br /> } <br /> COUNTYWIDE AGENCY ASL INTERPRETER <br /> SERVICES AGREEMENT $15,000 OR LESS <br /> ORANGE COUNTY <br /> This Countywide American Sign Language Interpreter Services Agreement ("Agreement"), made <br /> and entered into this 1st day of July, 2017, ("Effective Date") by and between Orange County, North <br /> Carolina a body politic and corporate of the State of North Carolina ("County") and Communication <br /> Services for the Deaf and Hard of Hearing(CSDHH), ("Provider"). <br /> WITNESSETH: <br /> For the purpose and subject to the terms and conditions hereinafter set forth, the County hereby <br /> contracts for the services of the Provider, and the Provider agrees to provide the following Interpretation <br /> and Transliteration Services to the County in accordance with the terms of this Agreement: <br /> A. Contract. This Contract consists of this document and additional documents checked below: <br /> 1. For Health Department: <br /> i. ®Health Department Additional Terms and Conditions <br /> ii. ®Business Associates Agreement <br /> iii. ® Condition of Contract Statement <br /> 2. For Department of Social Services: <br /> i. ® The General Terms and Conditions (Attachment A); <br /> ii. ® The Scope of Work, description of services, and rate(Attachment B); <br /> iii. ®Federal Certification Regarding Drug-Free Workplace(Attachment C); <br /> iv. ® Conflict of Interest(Attachment D); <br /> v. ®No Overdue Taxes (Attachment E); <br /> vi. ❑ Outcomes and Reporting(Attachment N) <br /> These documents constitute the entire agreement between the Parties and supersede all prior oral or <br /> written statements or agreements. <br /> B. Services <br /> 1. Scope of Work. <br /> a. This Agreement is for the Provider to furnish the services of qualified American Sign <br /> Language interpreters who interpret between English and American Sign Language with <br /> the County's clients and staff. <br /> b. By executing this Agreement, the Provider represents and agrees that Provider is <br /> qualified to perform and fully capable of performing and providing the services required <br /> or necessary under this Agreement in a fully competent,professional and timely manner. <br /> c. Time is of the essence with respect to this Agreement. <br /> d. The services to be performed under this Agreement consist of Basic Services, as <br /> described and designated in Section 3 hereof. Compensation to the Provider for Basic <br /> Services under this Agreement shall be as set forth herein. <br /> Revised 10/16 <br /> 1 <br />
