<br /> Neither party shall be liable for any delay or failure in performance due to Force Majeure, which shall include
<br /> without limitation acts of God, earthquake, hurricane, labor disputes, changes in law, regulation or government
<br /> policy,riots, war, acts of terrorism, fire, epidemics, acts or omissions of third party vendors or suppliers, equipment
<br /> failures,third party transportation difficulties, or other occurrences which are beyond the delayed parties reasonable
<br /> control,provided that the delayed party provides the other party with prompt notice of such delay.
<br /> 15. Miscellaneous
<br /> (a) Assignment. Client may not assign its obligations hereunder without the prior written consent of
<br /> GoSection8.com, except in the instance of a merger, reorganization, consolidation or sale of all or substantially all
<br /> of Client's assets. Any assignment in contravention of this provision shall be void.
<br /> (b) Notices. Any notice, report, approval or consent required or permitted hereunder shall be in writing and
<br /> will be deemed to have been effectively given: (i) immediately upon personal delivery or electronic or facsimile
<br /> transmission to the party to be notified; (ii) one (1) day after deposit with a commercial overnight courier with
<br /> tracking capabilities; or(iii) three (3) days after deposit with the U.S. Postal Service by registered or certified mail,
<br /> postage prepaid to the respective addresses of the parties as set forth herein.
<br /> (c) Entire Agreement; Amendments. This Agreement, and all exhibits, schedules, addenda and
<br /> instruments to be delivered by the parties pursuant hereto, represent the entire understanding and agreement
<br /> between the parties hereto with respect to the subject matter hereof and supersede all prior oral and written and all
<br /> contemporaneous oral negotiations, commitments and understandings between such parties. This Agreement may
<br /> not be amended or modified without a written instrument executed by the parties hereto.
<br /> (d) No Agency. The parties acknowledge that, as to each other, they are independent contractors, and no
<br /> agency, partnership,joint venture, employee-employer, or franchisee-franchisor relationship is intended or created
<br /> by this Agreement.
<br /> (e) Section Headings. The section headings are for the convenience of the parties and in no way alter, modify,
<br /> amend, limit, or restrict the contractual obligations of the parties.
<br /> (f) Severability. The invalidity or unenforceability of any provision of this Agreement shall not affect the
<br /> validity or enforceability of any other provision of this Agreement
<br /> (g) Rights Cumulative; No Waiver. No right or remedy herein conferred upon or reserved to either of the
<br /> parties hereto is intended to be exclusive of any other right or remedy, and each and every right and remedy shall be
<br /> cumulative and in addition to any other right or remedy given hereunder, or now or hereafter legally existing. The
<br /> failure of either party hereto to insist any time upon the strict observance or performance of any provisions of this
<br /> Agreement or to exercise any right or remedy as provided in this Agreement, shall not impair any such right or be
<br /> construed as a waiver or relinquishment thereof. Every right and remedy given by this Agreement to the parties
<br /> hereof may be exercised from time to time as often as may be deemed expedient by the parties hereto, as the case
<br /> maybe.
<br /> (h) Inconsistencies. Except as otherwise stated, in the event of any inconsistency between this
<br /> Agreement and any exhibit, schedule or addenda attached hereto, the terms and conditions of this Agreement shall
<br /> control.
<br /> (i) Trademarks; Copyrights. GoSection8.com® and Gob Rent WatchTM are registered trademarks of
<br /> GoSection8.com, Inc. Other names appearing on the Site may be trademarks of GoSection8.com or a third party.
