<br /> The Web site associated with the Licensed Program, including GoSection8.com content, services, and technology
<br /> (the "Site"), may contain information, data, text, software, music, sound, photographs, graphics, video, and
<br /> messages (collectively, "Content") that are protected by copyrights, trademarks, trade secrets or other proprietary
<br /> rights. Client understands that all Content, whether publicly posted or privately transmitted, is the sole
<br /> responsibility of the person from whom such content originated. GoSection8.com does not guarantee the accuracy,
<br /> quality or usefulness of any Content that has not been provided by GoSection8.com.
<br /> GoSection8.com expressly reserves the right to suspend or terminate Client's account if Client's continued use of
<br /> the Content, or Licensed Program, on the Site is, in GoSection8.com's sole judgment, likely to cause loss or
<br /> damage.
<br /> 5. Client Responsibilities; Online Conduct
<br /> Client agrees to facilitate the transition to the Licensed Program by distributing rack cards (i.e. a printed postcard
<br /> size card promoting the listing service) or brochures containing instructions to enable property owners and
<br /> prospective tenants to list and locate rental properties by using the Site. These materials will be provided by
<br /> GoSection8.com to Client free of charge. In addition, Client agrees to include announcements in Client's
<br /> publications, monthly newsletter, website or other medium informing property owners of the relationship between
<br /> Client and GoSection.com. Client will also ensure that its employees participate in the GoSection8.com training
<br /> programs. Client agrees to prominently display an exclusive link to the co-branded landlord listing portal on
<br /> Client's website.
<br /> Client agrees to use the Licensed Program, as well as the Site, only for lawful purposes. Client is responsible for
<br /> maintaining the confidentiality of any passwords supplied by GoSection8.com that grant access to the Content,
<br /> Licensed Program, or the Site. Furthermore, Client is entirely responsible for all activities that occur under the
<br /> Client's password and account. Client shall notify GoSection8.com immediately of any unauthorized use of
<br /> Client's passwords. Client acknowledges that GoSection8.com has no responsibility for any loss or damage arising
<br /> from Client's failure to comply with these requirements.
<br /> Client acknowledges that it shall be subject to the Terms of Use posted on the Site as the same may be modified
<br /> from time to time by GoSection8.com in its sole discretion.
<br /> GoSection8.com will use its best efforts at its own expense to recover any and all lost or corrupted data due to
<br /> virus,hackers, faulty hardware and unauthorized GoSection8.com employee access.
<br /> 6. Term and Termination of Account
<br /> The term of this Agreement shall be for one year, which may be automatically renewed for five successive one (1)
<br /> year periods. This Agreement shall automatically renew each year unless otherwise indicated by the Client at least
<br /> sixty days prior to the end of the contract. In addition, and without limiting any other rights available under the law,
<br /> either party may, at its option, terminate this Agreement with cause (and in GoSection8.com's case, suspend
<br /> Client's access to the Licensed Program) as provided below:
<br /> (a) In the event that either party materially defaults on its obligations hereunder and fails to cure its default, if such
<br /> default is capable of cure,within thirty(30) days after having been given written notice of such default.
<br /> (b) Immediately and without any requirement of notice, in the event that(a) either party files a petition in
<br /> bankruptcy; files a petition seeking any reorganization, arrangement, composition or similar relief under any
<br /> law regarding insolvency or relief for debtors; or makes an assignment for the benefit of creditors; (b) a receiver,
<br /> trustee or similar officer is appointed for the business or property of either party; (c) any involuntary petition or
<br /> proceeding under bankruptcy or insolvency laws is instituted against such party and not stayed, enjoined, or
