Certificates may be exchanged for an equal total principal amount of <br />Certificates of different but authorized denominations. The Trustee will <br />authenticate and deli~Ter Certificates that the Owner making the exchange is <br />entitled to receive, bearing numbers not then Outstanding. <br />The Trustee will deliver to the transferee any applicable notice of <br />prepayment when it effects a transfer or exchange of any Certificate after the <br />mailing of notice calling the Certificate or any portion of the Certificate for <br />prepayment. <br />The Owner will be the absolute owner of the Certificate for all purposes, and <br />payment of principal, premium, if any, and interest v~Jill be made only to or upon <br />the written order of the Owner or the Owner's legal representative, except that <br />interest payments will be made to the person shown as the owner of the Certificate <br />as of the applicable Record Date. <br />The Trustee must require the payment by an Owner requesting exchange or <br />transfer of any tax or other governmental charge required to be paid in respect of <br />the exchange or transfer, but must not impose any other charge. <br />Section 2.05. Mutilated, Lost, Stolen or Destroyed Certificates. <br />(a) If any Outstanding Certificate is damaged, mutilated, lost, stolen or <br />destroyed, the Company will execute, and the Trustee Till authenticate and <br />deli~Ter, a replacement Certificate, of the same tenor as the damaged, mutilated, <br />lost, stolen or destroyed Certificate, in the manner provided below. <br />(b) Application for exchange and substitution of damaged, mutilated, <br />lost, stolen or destroyed Certificates must be made to the Trustee. In every case, <br />the applicant for a replacement Certificate must furnish to the Company, the <br />County and the Trustee such security or indermuty as each may require to save it <br />harmless. In every case of loss, theft or destruction of a Certificate, the applicant <br />must also furnish to the Company, the County and the Trustee evidence to their <br />satisfaction of the loss, theft or destruction of such Certificate. In the case of <br />damage or mutilation of a Certificate, the applicant will surrender the Certificate <br />so damaged or mutilated. <br />(c) Notu~•ithstanding the foregoing, if any such Certificate has matured, <br />and no default is then continuing in the payment of the principal or interest with <br />respect to such Certificate, the County may authorize the payment of the same <br />(~~rithout surrender thereof except in the case of a damaged or mutilated <br />Certificate} instead of issuing a substitute Certificate, provided security ar <br />~3 s6zti~z g <br />
