MISCELLANEOUS <br />Section 12.01. Notices. <br />(a) Any communication prop-Tided for in this Trust Agreement or the <br />Certificates must be in writing. <br />(b) Any communication under this Contract will be sufficiently given and <br />deemed given when deli~Tered by hand or on the date shown as the date of delivery <br />on a United States Postal Service return receipt, if addressed as follows: <br />(i) if to the County, to Orange County Manager, Attention: Notice under <br />2006A COPS Financing Trust Agreement, Post Office Box 8181, Hillsborough, <br />North Carolina 27278; <br />(11) if to the Company, to Orange County Public Facilities Company, <br />Attention: Notice under Trust Agreement for Orange County 2006A COPS <br />Financing, ;and <br />(iii} if to the Trustee, to The Bank of New York, Attention: <br />Corporate Trust Department, Regarding: Notice under 2006A Trust Agreement for <br />Orange County {North Carolina), 10161 Centurion Parkway, Jacksonville, FL <br />32256. <br />(iv} if to the InsL~rer, to . ; <br />(c) Any communication sent under this Agreement must also be sent to the <br />County, the Trustee and the Insurer, along with any other parties to which the <br />communication may be addressed. <br />(d) Alzy addressee may designate additional or different addresses for <br />communications by notice gi~~ren under this Section to each of the others. <br />Section 12.02. Limitation of Rights. Nothing expressed or implied in this <br />Trust Agreement or the Certificates gives any person other than the Trustee, the <br />Company, the Coulzty and the O`~~ners any right, remedy or claim ulzder or with <br />respect to this Trust Agreement. <br />Section 12.03. Severability. If any provision of this Trust Agreement is <br />determined to be unenforceable, that will not affect any other provision of this <br />Trust Agreement. <br />J3862v2 35 <br />
