any calculation of Outstanding Certificates provided for in this Trust Agreement, <br />and will not be entitled to take any action provided far in this Trust Agreement. <br />The Trustee may provide far each Owner, before his or her consent provided <br />for in this Article X will be deemed effective, to reveal if the Certificates as to <br />which such consent is given are disqualified. <br />Notwithstanding the foregoing provisions of this Section, it is the intent of <br />the Company, the County and the Trustee that the ownership or holding of <br />Certificates by the Company or the County will not, by itself, give rise to an <br />extinguishment of the Certificates or any obligation arising under this Trust <br />Agreement or the Financing Contract. <br />Section 10.05. Effect of Consents. After an amendment or supplement <br />becomes effective, it will bind every Owner. Any such consent will be binding <br />upon and irrevocable by the Owner of the Certificate giving such consent and on <br />any subsequent Owner {whether or not such subsequent Owner has notice thereof}, <br />Lidless such consent is revoked in writing by the Owner giving such consent or a <br />subsequent Owner by filing such revocation with the Trustee prior to the date when <br />the notice provided for in Section 10.9 has been mailed. <br />Section 10.06. Notation on or Exchange of Certificates. If an amendment <br />or supplement changes the terms of a Certificate, the Trustee may require the <br />O~~ner of such Certificate to deliver it to the Trustee. The Trustee maSj place an <br />appropriate natation on the Certificate about the changed terms and return it to the <br />Owner. Alternatively, if the Trustee, the Companyr and the CoLiltyj so determine, <br />the Company, in exchange for the Certificate, will execute, and the Trustee uTill <br />authenticate and deliver, a new Certificate that reflects the changed terms. <br />Section 10.07. Trustee's Execution of Amendments and Supplements. <br />The Trustee will execute and deli~Ter anyr amendment or supplement to the Trust <br />Agreement or the Certificates authorized by this Article if the amendment or <br />supplement does not adversely affect the rights, duties, liabilities or immunities of <br />the Trustee. If the amendment or supplement has such an adverse effect, the <br />Trustee may, but need not, execute and deliver the same. In executing and <br />delivering an amendment or supplement, the Trustee will be entitled to recei~Te and <br />(subject to Section 9.01) will be fully protected 111 relying on an Opinion of <br />Counsel stating that such amendment or supplement is authorized by this Trust <br />Agreement. <br />Section 10.08.
