"Closing Date" means the date on which this Contract is first executed and <br />deli~rered by the parties. <br />"Cade" means the Internal Revenue Code of 1986, as amended, including <br />regulations, rulings and revenue procedures promulgated thereunder or under the <br />Internal Revenue Code of 1954, as amended, as applicable to the County's <br />obligations under this Contract. Reference to any specific Code provision will be <br />deemed to include any successor provisions thereto. <br />"Completion Certificate" means the certificate evidencing substantial <br />completion of the Financed Facilities provided for in Section 3.3. <br />"Completion Date" means the date on which the County delivers the <br />Completion Certificate. <br />"Construction Contracts" means the contracts between the County and one <br />or more contractors selected and hired by the County for the construction of the <br />Pledged Facility. <br />"Construction Period" means the period between the Closing Date and the <br />Completion Date. <br />"Contract Payments" means Installment Payments and Additional Payments. <br />"County Board" means the County's governing board as from time to time <br />constituted. <br />"County Representative" means the County Manager, County finance officer <br />or any other person or persons at the time designated, by a written certificate <br />furnished to the Trustee and signed on the County's behalf by the County Manager <br />or the Chair of the County Board, to act on the County's behalf far the purpose of <br />performing any act (or any specified act} under this Contract. <br />"Deed of Trust" means the Deed of Trust and Security Agreement, dated as <br />of April 1, 2006, from the County to a deed of trust trustee for the benefit of the <br />Compan~j and its assigns, as it may be duly amended or supplemented. <br />"Event of Default" means one or more events of default as defined in <br />Section 10.1. <br />93361v2 ~9 <br />
