40 <br /> 28 <br /> Authorized Representative with respect to such matters. Any disputes between the Design- <br /> Builder and any other contractor with respect to such matters shall be resolved in accordance <br /> with the claim and dispute resolution procedures in the Agreement. <br /> ARTICLE 12. CONTRACT TIME <br /> 12.1 Within fourteen (14) days after receipt of the Design Build Contract by the Design-Builder <br /> for signatures, the Design-Builder shall prepare and submit to the Owner's Authorized <br /> Representative for review and approval a preliminary progress schedule for the Work pursuant <br /> to the requirements stated in the Contract Documents. <br /> 12.2 Within fourteen (14) days after initial receipt of the Design Build Contract for signatures the <br /> Design-Builder shall submit to the Owner's Authorized Representative a Submittal Register <br /> listing all Submittals the Design-Builder is required to make or proposes to make under the <br /> Contract Documents, the dates on which the Design-Builder proposes to make such Submittals <br /> and the dates by which the Design-Builder reasonably requires a response from the Owner's <br /> Authorized Representative with respect to each Submittal. The dates submitted shall be <br /> incorporated into the Contract Construction Schedule as Completion Dates when they have <br /> been approved or modified by the Owner. The Owner's Authorized Representative shall not be <br /> required to review any Submittal from the Design-Builder until a Submittal Register acceptable <br /> to and approved by the Owner has been submitted by the Design-Builder. <br /> 12.3 Not later than thirty (30) days following execution and delivery of the Construction <br /> Agreement by Owner to Design-Builder, the Owner shall deliver to the Design-Builder a Notice <br /> to Proceed. The Notice to Proceed shall state a commencement date on which it is expected <br /> that the Design-Builder will begin the Work to be performed under the Agreement. The Contract <br /> Time shall be measured from said specified commencement date. The commencement date <br /> stated in the Notice to Proceed shall not be earlier than three (3) days after the Notice to <br /> Proceed is served on the Design-Builder. <br /> If, other than by mutual agreement, said specified commencement date is more than thirty (30) <br /> days after the date of execution and delivery of the Agreement from Owner to Design-Builder <br /> and the Design-Builder believes said delay justifies an increase in Contract Price and/or an <br /> extension of Contract Time, the Design-Builder may make a claim therefore as provided in <br /> Article 13 and/or Article 14. No Work shall be done prior to the date specified in the Notice to <br /> Proceed. A final Contract Construction Schedule shall be submitted for approval by the Design- <br /> Builder, Owner's Authorized Representative, and Owner no later than fourteen (14) days after <br /> Notice to Proceed. No payments shall be due the Design-Builder until this schedule is approved <br /> by all parties. <br /> 12.4 The Contract Construction Schedule is a Contract Document. The Design-Builder <br /> represents that the Contract Construction Schedule has been reviewed in detail, that the <br /> Design-Builder participated in its preparation, that all of the activities which impact, limit, or <br /> otherwise affect the time of completion of the Work are shown in the Contract Construction <br /> Schedule and that all of the activities of others which impact, limit, or otherwise affect the start, <br /> duration, or completion of the Design-Builder's activities are also shown. The Design-Builder <br /> further represents that the Design-Builder can and will complete each activity within the time <br /> shown for that activity. Time is of the essence with respect to each such activity and <br /> Completion Date. <br /> Revised 2/17 <br />
