ms) <br /> -3- <br /> less all previous progress payments made pursuant hereto. <br /> Upon completion of the work, including the receipt of any <br /> final written submission of the Agency, COG shall pay the <br /> Agency alsum equal to one hundred percent (100%) of the <br /> compensation to be paid under this contract, less the total <br /> of all previous payments made. <br /> Nothwithstanding the foregoing provisions of this <br /> paragraph, COG will make diligent efforts to obtain advance <br /> funding from its funding source; and if it receives such <br /> advance ifunding then the Agency shall be entitled to advances <br /> once a month based upon requisitions of the estimated amounts <br /> of expected expenditures for such month. <br /> 7. Agency's Personnel. Agency represents that it <br /> has, or will secure at its own expense, all personnel required <br /> in perfcIrming the services under this contract. Such personnel <br /> 1 <br /> shall not be employees of COG, nor shall such personnel have <br /> been employees of COG during any time within the twelve- <br /> month period immediately prior to the date of this contract, <br /> except With the express prior written consent of COG. Further, <br /> 1 <br /> Agency agrees that no one employed by COG now, or within the <br /> twelve-month period immediately prior to the date of this <br /> contract, shall be involved in any way with the performance <br /> of this contract, without the express prior written approval <br /> of COG. <br /> B. Approval of Subcontracts. None of the work of <br /> services to be performed under this contract by the Agency <br /> shall be subcontracted without the prior written approval of <br /> COG. I such subcontracting is authorized as herein provided, <br /> all subcontract documents shall be submitted to COG for <br /> review and approval prior to the execution of such subcontract. <br /> Further, if requested by COG, the Agency shall provide COG <br /> with such documentation as it shall require, regarding the <br /> method the Agency used in selecting its subcontractor. The <br /> Agency knowledges that if the work or services to be performed <br /> under tihis contract is financed solely or partially through <br /> Federal funds, the selection of subcontractors is governed <br /> by regulations requiring competition between potential <br />
