. , <br /> - - <br /> NORTH CAROLINA <br /> it 1 <br /> ORANGE COUNTY <br /> i <br /> - , <br /> AGREEMENT <br /> THIS AGREEMENT is entered into this day oiCh.e c_rzt,A19e,e, <br /> 1983 by and between the Orange County School Board ("the Board")-1--df <br /> body corporate, and Orange County, a body politic and corporate <br /> ("the County") . <br /> WHERENS, the County presently operates and maintains a compute <br /> 1 <br /> center serving various county departments and agencies and wishes t <br /> , <br /> 1-' make its computer operations and services available to the Board; a d <br /> 1 <br /> WHERES, the Board desires to purchase certain necessary com- <br /> puter servilces from the County; <br /> NOW THEREFORE, in consideration of the premises and the mutua <br /> promises set forth below, the parties agree that, for a fixed annu <br /> fee, the County shall provide 24-hour, 7.-day--a-week computer serviqes <br /> to the Board, including equipment, hardware and software programs <br /> along with irequired communications linkage, using two(2) central p - <br /> cessing ports, all to be provided in accordance with the following <br /> terms, conditions, and specifications: <br /> 1. The County shall provide the Board with the following <br /> equipment: <br /> - A. 1 data processing terminal; <br /> , <br /> B. 1 slow speed printer; <br /> CJ 4 short haul modems; <br /> together with any necessary cables or other equipment necessary to <br /> make the computer system operational. <br /> 2. Ownership of equipment purchased pursuant to this agreement <br /> shall rest'with the Board. <br /> 3. The County shall provide all equipment maintenance at the <br /> same levellas that provided for the other users of the Orange County <br /> Data Processing Center. The Board shall be responsible for the cost <br /> of repair and maintenance and shall bear the cost of replacing any <br /> equipment damaged by the Board's negligence or abusive use of equi <br /> / <br /> ment. I 1 <br /> I <br /> 4. The County shall not be liable for damages incurred by th <br /> Board caused by interruption and/or delay of services. However, t e <br /> County shall do all things reasonably necessary to bring the servi e <br /> up to the required level as soon as possible after identification f <br /> the problem causing the interruption and/or delay. <br /> 5.
