588 <br /> 8 <br /> • rl <br /> 4. The County shall not be liable for any and all <br /> damages incurred by the Town caused by interruption and/or <br /> delay of services from causes not under its direct control. <br /> Causes of such interruption and/or delays may include but is <br /> not limited to , telephone line failures, and equipment <br /> failure. However, the County shall do all things reasonably <br /> expected to bring the service up to the required level as <br /> • soon as possible after identification of the problem causing <br /> the interruption and/or delay. <br /> 5. The County shall provide the same "software" <br /> maintenance services as provided other users of the Orange <br /> County Data Processing Center. <br /> 6. The County shall make available to the Town all <br /> existing "software" operational programs or new programs or <br /> re-programming that may become available to other users of <br /> the Center. If the County purchases such "software" from <br /> some third party then the Town may be asked to share in this <br /> ? r,: purchase price. The County agrees to make such "cosmetic" <br /> • changes as may be required to meet the particular needs of <br /> • the Town, such changes not to exceed 200 hours of <br /> programming. Additional programming is to be charged to the <br /> Town at a rate not to exceed $20 per hour. The hourly <br /> charge may be adjusted at the end of each year of the <br /> agreement to reflect increase in cost. This adjustment may <br /> not exceed 5% per year. The County will purchase the <br /> Utility Billing Software from our vendor at the lowest price <br /> we can negoitate and the Town will reimburse the County for <br /> this cost (not to exceed $4,750) . <br /> 1. The County shall provide required operator training <br /> for each program to be used by the Town. Such operator <br /> traning shall be available as required by the Town for the <br /> • life of this agreement. <br /> 8. The County shall provide necessary\ communication <br /> linkage between Town Hall and the Orange County Data <br /> Processing Center. <br /> 9. The County shall provide all installation and have <br /> all equipment and software programs operational with <br /> operator training complete by October 1st for the Financal <br /> system and November 1st for the Utility system. In the <br /> event the system is not functional by the above dates, the <br /> County shall refund a prorate share of the monthly cost <br /> • based upon the number of working days in the month that <br /> portion of the system is not functional. <br /> ■ <br /> :1 • <br /> , <br />
