<br /> ' AGREEMENT
<br /> THIS AGREEMENT is entered into this „..„...., day of ,
<br /> 4.4? 1983 and by and between the Town of Hillsborough, a
<br /> municipal corporation ("The Town") and Orange County, a body
<br /> politic and corporate ("The County") .

<br /> WHEREAS, the County presently operates and maintains a
<br /> computer center serving various County departments and
<br /> agencies and wishes to make its computer operations and
<br /> services available to the Town; and
<br /> WHEREAS, the Town desires to purchase certain necessary
<br /> 11, , computer services from the County;
<br /> NOW THEREFORE, in consideration of the premises and the
<br /> ,., mutual promises set forth below, the parties agree that, for
<br /> ...7e,.. 1 a fixed annual fee, the County shall provide 24-hour, 7 day
<br /> a week computer services to the Town, including equipment,
<br /> hardware and software maintenance, required operator
<br /> training and software programs along with required

<br /> communications linkage, using four(4) central processing
<br /> %.1.1 ports, all to be provided in accordance with the following
<br /> terms, conditions, and specifications:

<br /> 1 1. The County shall provide the Town with the
<br /> 20, following equipment:

<br /> A. 4 "Adds" data processing terminals
<br /> B, 1 High speed line printer
<br /> . . C. 1 Slow speed slave printers
<br /> D. 1 2-Way manual switch
<br /> B. 8 Short haul modeums
<br /> 2. The County shall not be required to purchase more
<br /> equipment, supplies, cables, etc than the Town pays for the
<br /> first year of service. If the cost of the above equipment
<br /> exceedes the first annual payment then the Town shall
<br /> reimburse the County in one lump sum payment. Ownership of
<br /> equipment purchased pursuant to this agreement shall remain
<br /> in Orange County.
<br /> 3. The County shall provide all equipment maintenance
<br /> at the same level as that provided for the other users of
<br /> the Orange County Data Processing Center. The Town shall be
<br /> responsible for repair of and the cost of repair and
<br /> replacement to and the cost of replacement to equipment
<br /> damaged by the Town's negligent or abusive use of the
<br /> equipment.
