To receive funds under this agreement, the <br />Designated Agent shall sign the Cost 12eport or Request for Advance Form <br />(13) <br />(a) the validity of this Agreement is suUject to the truth and accuracy of all the <br />information, representations, and materials sribmitted or provided by the <br />RECIPIENT/SUBGRANTEE, in the Application, in any subsequent <br />submission or response to the AGENCY/ GRANTEE request, or any <br />submission or response to fulfill the requirements of this Agreement, and <br />such infotmation, representations, alxl materials are incorporated by <br />reference. The lack of accuracy thereof oz any material changes shall, at the <br />option of the AGENCY/GRANTEE and with thirty (30) days written notice <br />to the RECIPIENT/SUBGRANIEE, cause the termination of this <br />Agreement and the release of the AGENCY/ GRANTEE from all its <br />obligations to the RECIPIENT/ SiTBGRANTEE <br />(b) This Agreement shall be construed under the laws of the State of North <br />Cazolina and venue for any actions arising out of this Agreement shall be <br />filed in State Cotut in Walce County, North Carolina ICany provision <br />hereof is in conflict with any applicable statute or rule, or is otherwise <br />unenforceable, then. such provision shall be deemed null and void to the <br />extent of such conflict, and shall be deemed severable, but shall not <br />invalidate any other provision of this Agreement <br />IIarurd Mitigation Puge 10 RLMA-DR-7490-0005 Orange County <br />Gant Agreement <br />
