EGOS agrees to maintain and keep records sufficient to document, <br /> verify and determine actual tonnages of materials collected <br /> hereunder, the site from which such collections are made, the sale <br /> or other method of disposal of such collections, and such other <br /> matters as may reasonably be required by the Landfill for <br /> Inspection at any time during the initial or any extended term of <br /> this Agreement, or within one year thereafter. <br /> 5. ECO5 shall maintain its locations) for collection and any <br /> materials rocessing activities in a hygienic, safe, neat and <br /> orderly manner. ECOS shall use its best efforts to maintain the <br /> collection location(s) with a presentable and aesthetic appearance. <br /> ECOS shall ''so regularly and frequently pickup and remove litter <br /> and trash from the immediate vicinity of each location. The <br /> Landfill des gnates the participating landfill co-owner jurisdiction <br /> within which a collection site is located as its agent for oversight <br /> and supervision of ECOS's duties and obligations under this <br /> section. EGOS shall comply with the reasonable requests of such <br /> co-owner re sting to such duties and obligations, and to the <br /> maintenance and appearance of such collection locations. <br /> 6. Throughout the initial or any extended term of this Agreement, <br /> ECOS agrees to maintain Ilability insurance, in an amount <br /> acceptable t the administration of the landfill, which insurance <br /> names the Landfill co-owners as additional insured parties, <br /> covering an claim or to for injury, death or property damage <br /> arising out of or relating to ECOS's collection and recycling <br /> activities purrsuant to this Agreement. ECOS shall provide a copy of <br /> any binder dr certificate evidencing such Insurance to the Landfill <br /> upon request. Such insurance shall not be cancelled, terminated, <br /> or amended to provide less coverage or lower covered amounts, <br /> without 30 days prior written notice to the Landfill. <br /> 7. ECOS shall Indemnify and hold harmless the Landfill co-owners <br /> against any claim, expense, cost, loss, or liability resulting from, <br /> arising out lof or relating to ECOS's collection and recycling <br /> activities he eunder, except to the extent such may result from, <br /> arise out of, r relate to the negligence or fault of the Landfill. <br /> B. ECOS agrees o comply with all laws, ordinances, regulations or <br /> other govern-nentai requirements, including those for non-dis- <br /> crimination in program participation and employment matters, <br /> which are ap licable to its activities hereunder. In addition, ECOS <br /> agrees to c ply with all applicable provisions and conditions of <br /> ofil <br /> administrativ circulars Issued by the U.S. Office of Management <br /> and Budget, and of any state administrative regulations, <br /> applicable to ,subcontractors of the participating landfill co-owners <br /> under federall and state programs and grants to which such <br /> 9. The Landfill reserves the right to cancel this Agreement upon 30 <br /> days written notice for good cause shown. ECOS shall be credited <br /> or paid all mounts due it for collected and recycled tonnage <br /> hereunder to and through the date of such cancellation. if any <br /> balance of th loan provided for in Section 3(a) remains due and <br /> outstanding o such date, ECOS shalt have a grace period of 6 <br /> month(s) to repay said due amount in full. <br /> 10. The Initial term of this Agreement shall be three (3) years from <br /> the effective date hereof. <br /> 11.
