Shall only be reported by Trained Personnel; and <br /> c. Shall include sufficient details in the error report to enable the <br /> Company to identify the error. <br /> (3) The Company shall use commercially reasonable efforts to correct <br /> material errors within eight business hours from receipt of the error report. <br /> 4. Annual Fees: The Customer shall pay Annual Fees for the Support and Maintenance <br /> Services as follows: <br /> A. The Annual Fee for the initial term shall be the amount set forth in the Quotation, <br /> and shall be paid in accordance with the Quotation. <br /> B. Annual Fees shall also be increased based upon the Customer's purchase of <br /> additional users, Locations, and/ or modules. <br /> C. The amount of the Annual Fee is based upon a continuous Support/ Maintenance <br /> Agreement between the Company and the Customer, and if the Customer <br /> discontinues this Agreement and later requests Support and Maintenance <br /> Services, additional fees may be required, which shall not exceed fifty percent <br /> (50%) of the annual support fee of the current annual support plan costs. <br /> D. Annual Fees for Renewal Terms shall be due and payable within 60 days after to <br /> the commencement of the Renewal Term. <br /> E. Annual Fees not paid when due shall bear interest at the rate of 1% per month <br /> from the due date, and if payment is not made by the due date the Company may, <br /> at its option, suspend the provision of Support and Maintenance Services, or <br /> terminate this Agreement. <br /> 5. Notices: Notices regarding this Agreement to the Company shall be made via email to <br /> notifications @tmasytems.com. <br /> 8 <br />
