Correction of material errors of the Software as follows: <br /> (1) An error or malfunction shall be deemed material if it causes the Software <br /> to conflict with the Software documentation. <br /> (2) Material errors: <br /> a. Shall only be reported by Trained Personnel; <br /> b. Shall be reported to the Company at support@tmasystems.com; and <br /> c. Shall include sufficient details in the error report to enable the <br /> Company to identify the error <br /> (3) The Company shall use commercially reasonable efforts to correct the error <br /> within eight business hours from receipt of the error report. <br /> 3. Use of the Software: <br /> A. The Software may only be used to manage the operations of the Locations described <br /> on the Quotation, or later added with the agreement of the Company. <br /> B. The concurrent use of the Software is limited to the number of concurrent users or <br /> named users listed on the Quotation, or later purchased by the Customer. <br /> C. Customer shall not use the Software as a call center or service bureau, or otherwise <br /> permit the use of the Software by any third party without the prior express written <br /> consent of the Company. <br /> 4. Annual Fees: Customer shall pay Annual Fees for the Subscription Services as follows: <br /> A. The Annual Fee for the initial term shall be the amount set forth in the Quotation, <br /> and shall be paid in accordance with the Quotation. <br /> B. Upon notice at least 60 days prior to the expiration of any term, the Company may <br /> increase the Annual Fee for the Renewal Term by an amount not to exceed 5% of <br /> the Annual Fee for the current term. <br /> C. Annual Fees shall also be increased based on the Customer purchases of additional <br /> users, Locations, and/ or modules. <br /> D. Annual Fees for Renewal Terms shall be due and payable 30 days prior to the <br /> commencement of the Renewal Term. <br /> E.
