52 <br /> SECTION XII <br /> RELATIONSHIP BETWEEN PARTIES <br /> The relationship between the Plan and Participating Physicians and <br /> Participating Providers is a contractual relationship between <br /> independent contractors. Participating Physicians and Participating <br /> Providers are not agents or employees of the Plan; nor is the Plan or <br /> any employee of the Plan an agent or employee of Participating <br /> Physicians and Participating Providers. <br /> The relationship between a Participating Physician and any Member <br /> is that of physician and patient. The Participating Physician is soley <br /> responsible for the Health Services provided to any Member. The Plan is <br /> not liable for any act, omission, or other conduct of any physician or <br /> provider in furnishing professional, ambulatory, hospital, or any other <br /> services to Members; nor is any Participating Physician or Participating <br /> Provider liable for the acts of any other physician or provider based <br /> solely upon his, her, or its association with the Plan. <br /> 47 <br />
