7 <br /> SECTION I <br /> INTRODUCTION <br /> Carolina Physicians' Health Plan, Inc. (hereinafter referred to <br /> as "the Plan") hereby agrees with the Policyholder to provide the Health <br /> Services set forth herein to Members, subject to the exclusions, <br /> limitations, conditions and other terms of this Contract. <br /> This Contract is made in consideration of the Group's <br /> Application and payment of the required Premium on behalf of the group <br /> employees, Members, and Dependents Covered by this Contract. <br /> This Contract shall take effect as specified in the Application <br /> and will be continued in force by the timely payments of the required <br /> Premium Charges when due, subject to termination of this Contract as <br /> provided herein. All Coverage under this Contract shall begin and end <br /> at 12:00 A.M., Eastern Standard Time. <br /> A Member Covered by this Contract may not assign any of the <br /> benefits of this Contract to any person, corporation, or association <br /> except as provided herein. Any attempt to make such an assignment shall <br /> be void and may result, at the Plan's option, in the termination of the <br /> Member's Coverage. <br /> This contract is delivered in and governed by the laws of the <br /> state of North Carolina. <br /> This Contract shall be controlling in case of any dispute or <br /> question concerning the Coverage or rules of eligibility, enrollment, <br /> and participation in the Plan set forth in the Certificate issued to <br /> Members. <br /> 3 <br />
