3n <br />(c) Any communication to the Deed of Trust Trustee shall also be sent to <br />Sellers. <br />(d) Any addressee may designate additional or different addresses for <br />communications by notice given under this Section to each of the others. <br />8.02. No Assignments by County. The County shall not sell or assign any <br />interest in this Agreement. <br />8.03. Assignments by Sellers. Sellers may, at any time and from time to time, <br />assign all or any part of their interest in this Agreement, including, without limitation, <br />Sellers' rights to receive Required Payments. Any assignment made by Sellers or any <br />subsequent assignee shall not purport to convey any greater interest or rights than those <br />held by Sellers pursuant to this Agreement. <br />The Sellers, however, represent and warrant that they are entering into this <br />Agreement for their own account, with no present intention to sell or assign any portion <br />of their interests in this Agreement. <br />Any assignment by Sellers may be only to a bank, insurance company, or similar <br />financial institution or any other entity approved by the LGC. Notwithstanding the <br />foregoing, no assignment or reassignment of Sellers' interest in the Mortgaged Property <br />or this Agreement shall be effective unless and until the County shall receive a duplicate <br />original counterpart of the document by which such assignment or reassignment is made <br />disclosing the name and address of each such assignee. <br />8.04. Amendments. No term or provision of this Agreement may be amended, <br />modified or waived without the prior written consent of the County and Sellers. <br />8.05. No Marshalling. The County hereby waives any and all rights to require <br />marshalling of assets in connection with the exercise of any remedies provided in this <br />Agreement or as permitted by law. <br />8.06. Governing Law. The County, Sellers and the Deed of Trust Trustee intend <br />that State law shall govern this Agreement. <br />8.07. Liability of Officers and Agents. No officer, agent or employee of the <br />County shall be subject to any personal liability or accountability by reason of the <br />execution of this Agreement or any other documents related to the transactions <br />contemplated hereby. Such officers or agents shall be deemed to execute such documents <br />in their, official capacities only, and not in their individual capacities. This Section shall <br />14 <br />finagreemttweeter
