DATE h /9 Z3 <br /> NORTH CAROLINA ITEM <br /> ORANGE COUNTY ✓ <br /> AGREEMENT <br /> �This gr,e ement is entered into this 7 <br /> � ber' 1993 and by azid between the Town yoff <br /> Hi , a Municipal Corporation ( "The Town" Chapel <br /> a body politic and Corporate ("The County" ) . <br /> Orange County, <br /> WHEREAS, the County presently operates and maintains a <br /> Computer Center serving various County Departments and <br /> Agencies and wishes to make its computer operations and <br /> services available to the Town; and <br /> WHEREAS, the Town desires to purchase certain necessary <br /> computer services from the County; <br /> NOW THEREFORE, in consideration of the premises and the <br /> mutual promises set forth below, the parties agree that, for <br /> a fixed annual port fee, the County shall provide 24-hour, 7 <br /> day a week computer access to the new UNIX platform <br /> (currently an IBM RS6000) , to be provided in accordance with <br /> the following terms, conditions, and specifications : <br /> 1 . The County will provide the central site equipment, <br /> including hardware, hardware maintenance, 0/S software, 0/S <br /> software maintenance, and any other related support to <br /> maintain the availability of the UNIX platform for use by the <br /> Town. If the current platform: must be upgraded by additional <br /> memory, on-line disk storage, or other type of central site <br /> hardware then the County and Town shall share the cost of <br /> that upgrade based on the benefits provided each. <br /> 2 . The County will provide the Town with the same level of <br /> service and support on the platform with no less than equal <br /> priorities as other users of the system. <br /> 3. The County shall provide the same data security and <br /> retention of data for the Town_as provided for the other <br /> users of the system, including-daily "BACK-UP" and other <br /> routine security storage. <br /> 4. The County will provide an 0/S software maintenance <br /> agreement on the UNIX system which will allow access for the <br /> Town's Systems Administrator. <br /> 5 . The County shall not be liable for damages incurred by <br /> the Town caused by interruption and/or delay of services . <br /> However, the County shall do all things reasonably necessary <br /> to bring the service up to the: required level as soon as <br /> possible after identification of the problem causing the <br /> interruption and/or delay. The County will notify the Town of <br /> interruptions or delays in service whenever possible. <br />
