the event the Contractor and the CM cannot agree that an adjustment to the Contract Price <br />or the Contract Time is warranted, or cannot agree on the appropriate adjustment to the <br />Contract Price ar the Contract Time, in order to expedite the Work and avoid or minimize <br />delay in the Work that might affect the Contract Price or Contract Time, the Contractor <br />shall, if so directed by the CM in writing, nevertheless proceed with the Wark, and any <br />adjustment to the Contract Price or Contract Time shall be negotiated by the parties at a <br />later date, utilizing the dispute resolution procedures under this Agreement if necessary. <br />Any claim for an adjustment in Contract Price or Contract Time, if not defined in the <br />Construction Change Directive, shall be promptly made in writing in accordance with the <br />procedures defined in Article 15.2 of these General Conditions. <br />14.3 The Designer, through the CM, may authorize minor changes or alterations in the Work not <br />involving change in the Contract Price or in the Contract Time and not inconsistent with the <br />overall intent of the Contract Documents. These may be accomplished by a Field Order. <br />Such alterations shall not invalidate the Contract Documents nor release the surety. If the <br />Contractor believes that any minor change or alteration authorized by the Designer entitles <br />the Contractor to an increase in the Contract Price and/or an extension of Contract Time, <br />the Contractor may make a claim therefore as provided in Article 14 and/or Article 15 of <br />these General Conditions. <br />14.4 Except in an emergency endangering life or property, no change shall be made by the <br />Contractor except upon prior written Change Order, Construction Change Directive or Field <br />Order authorizing such change. <br />14.5 Increases in the Contract Price and/or extensions of the Contract Time for additional Work <br />performed by the Contractor shall only be in accordance with a written Change Order or <br />Construction Change Directive signed by the CM. The Contractor shall not be entitled to <br />additional time or to additional compensation for any Work performed or material supplied <br />which is claimed to have been authorized or settled by an "oral" change, or by a <br />"constructive" or "implied" change, or by a course of conduct, or by any action ornon-action <br />by the CM, or any other persons, or by any means whatsoever other than by a written <br />Change Order or Construction Change Directive for such Work or material signed by the <br />CM. <br />14.6 Changes in the Work resulting from emergency shall not invalidate the Contract Documents <br />nor release the surety if the Contractor is bonded. <br />14.7 The CM shall not be responsible for verbal instructions which have not been confirmed in <br />writing, and in no case shall such instructions be interpreted as permitting a departure from <br />the Contract Documents unless such instruction is confirmed in writing and supported by a <br />proper Change Order, Construction Change Directive or Field Order, whether or not the <br />cost is affected. <br />14.8 If the Contractor is bonded, the CM, in its sole discretion, may require that the Contractor <br />notify the Contractor's sureties of any changes affecting the general scope of the Work or <br />change in the Contract Price, and that the amount of applicable bonds shall be adjusted <br />accordingly. If this requirement is exercised, the Contractor shall furnish proof of such <br />adjustment to the CM. <br />If this requirement is exercised, the Change Orders and Construction Change Directives <br />shall require written consent of the Contractor's surety. At the time of signing a Change <br />Order, the Contractor shall be required to certify as follows: <br />"I certify that all sureties have been notified that my contract has been altered by <br />the amount of this Change Order or Construction Change Directive and that a copy <br />GENERAL CONDITIONS FOR CM AT RISK PROJECT 30 of 43 JUNE 2007 EDITION <br />
