1 , <br /> ; Reasonable effort should be made to run programs and facilities, under <br /> control of the Association, in a safe manner, however, no liability due to <br /> injury or resulting from use or participation in the facilities should be <br /> possible. For this reason the organization should always provide reasonable <br /> isurance for its Board members as a result of accident, etc . claims. <br /> TYHA, under these bylaws is authorized to run programs and facilities <br /> considered as a Community Center. This refers to a facility under the <br /> management and control of TYHA for the purpose of providing activities and <br /> programs that serve the general public. <br /> TYHA will also be able to run ancillary concessions or facilities in order to <br /> • raise funds to support the facility or program operations. All concessions <br /> proposed must have the approval of the board of TYHA as per a 2/3 majority <br /> vote. No member of TYHA may benefit directly from the above unless <br /> considered appropriate by a 2/3 majority vote or as per Article 5 sub article <br /> E. <br /> Article 3: AHAUS and MAHL Affiliation. The Association is fully sanctioned <br /> by the Amateur Hockey Association of the United States (AHAUS) , the governing <br /> body for amateur hockey in this country. The Association is also a charter <br /> member of the Mid-Atlantic Hockey League (MAHL) , an organization established <br /> to coordinate competitive youth hockey in North Carolina and Southern <br /> Virginia. The Association, its officers, both elected and appointed, its <br /> players, coaches, officials and parent members shall abide by all rules and <br /> regulations promulgated by AHAUS and MAHL relative to conduct of .hockey <br /> activities. <br /> Article 4: 1 Membership. All parents of registered players and coaches are <br /> embers of the Association and are entitled to attend the Annual Meeting of <br /> one Association or any meeting of the Board of Directors. Otheroindividuals <br /> • may be considered for membership on a case-by-case basis by <br /> Article 4: 2 Other groups may also be added or affiliated with TYHA as per a <br /> 2/3 majority vote of the Board of Directors. Such groups can include figure <br /> skaters, college or other educational level clubs or members of Government <br /> agencies. Each such TYHA approved group will be entitled to one seat as a <br /> Director at Large, and will be guided by the TYHA By-laws. (see Article 5) . <br /> It is recommended that such groups be classified as non-profit organizations. <br /> Unless later amended by the Board of TYHA the total number of directors at <br /> large will be limited to 9 (nine) . <br /> • Article 5: - Board of Directors. Governance of the Association shall be by a <br /> Board of Directors, composed of eleven (11) elected members and the immediate <br /> past president . The composition of the Board is as follows: President , <br /> Vice-President for Finance, Vice-President for Operations, Coaching and <br /> Instructional Director, Director of Publicity, Secretary, Treasurer, and four <br /> (4) Directors-at-Large and the immediate past president. Additionally, the <br /> Parent Representative of each active age division will serve as an ex-officio <br /> member of the Board, with full voting privileges, until a new Parent <br /> Representative is elected by the respective age division. <br /> • <br /> Page 2 <br /> TYHA Bylaws <br />
