2. There shall be an annual meeting of the voting membership, and the same shall be held in <br /> November of each year, and on a day and at a time as agreed and noticed by the Board of <br /> Directors. <br /> 3. Special meetings of the voting membership or of the Board of Directors may be called at any <br /> time by the Chief or by the request of two members of the Board of Directors of the <br /> Corporation, or pursuant to a request of the voting members holding not less than one fourth <br /> (1/4) of all the votes cast by the voting membership. <br /> 4. Notice of meetings shall be made by either written or electronic mail notice or posting on the <br /> web site stating the time and place of the meeting, and said notice shall be delivered not less <br /> than ten(10) nor more than fifty (50) days prior to the date of the meeting to the members of <br /> the Corporation. If said notice is mailed, it shall be deemed delivered when deposited in the <br /> United States mail, addressed to the member at their address as it appears on the records of <br /> the Corporation, with postage thereon prepaid. <br /> 5. Notices for special meetings shall specifically state the purpose(s) of the meeting, unless such <br /> a meeting is a substitute annual meeting as permitted under North Carolina law. Notice shall <br /> be provided in compliance with authority granted by the North Carolina General Statutes. <br /> 6. If any meeting is adjourned for one month or more, notice of the adjourned meeting shall be <br /> given as in the case of the original meeting. When a meeting is adjourned for less than one <br /> month in any one adjournment, it shall not be necessary to give any notice of the adjourned <br /> meeting other than by announcement at the meeting at which the adjournment is taken. <br /> 7. The presence,physical or electronic, of voting members entitled to cast twenty-five (25) <br /> percent of the votes of the membership shall constitute a quorum at a meeting of the <br /> members for all meetings and purposes. In the absence of a quorum at the opening of any <br /> meeting of members, such meeting may be adjourned by a vote of the majority of the voting <br /> members voting on the motion to adjourn; at any adjourned meeting at which a quorum is <br /> present, any business may be transacted which might have been transacted at the original <br /> meeting. <br /> Article IV <br /> Duties and Privileges of Members <br /> 1. All members participating in emergency operations through the Corporation shall maintain a <br /> state of readiness, ensure that minimum standards as established by the Corporation's <br /> Standard Operations Manual for certification are satisfied, attend meetings and training <br /> sessions of the Corporation, and shall serve on such committees as necessary for the <br /> operation of the Corporation. <br /> 2. Members participating in emergency operations shall generally comprise regular, <br /> provisional, and resource members. These members, and any other members providing <br /> emergency operations, shall provide such services in accordance with the Corporation's <br /> Standard Operations Manual. <br />
