BYLAWS OF <br /> SOUTH ORANGE RESCUE SQUAD, INC <br /> (Adopted January 13th, 2005) <br /> (Amended May 10th, 2007) <br /> (Last amended November 14, 2013) <br /> Article I <br /> Offices of the Corporation <br /> 1. The corporation shall be known as South Orange Rescue Squad, Inc.; hereinafter the <br /> Corporation. The principal office of the Corporation shall be located at 202 Roberson St, <br /> Carrboro,NC 27510, or at such other place as may be designated by the Board of <br /> Directors. The Registered Agent of the Corporation shall be the sitting chair of the Board of <br /> Directors. <br /> 2. The registered office of the Corporation as required by the laws of the State of North <br /> Carolina may be, but is not required to be, located at the principal office of the Corporation. <br /> 3. The Corporation may operate such other offices as the Board of Directors deems necessary or <br /> proper to the fulfillment of the purposes and objectives of the Corporation. <br /> Article II <br /> Membership Classes and Voting Rights <br /> 1. Membership shall be divided into two categories: emergency operations members and non- <br /> emergency members. Prospective members must be accepted as members by the <br /> Corporation upon recommendation of the officer(s) involved in personnel matters, in <br /> accordance with existing policy. Members shall express an interest in furthering the purposes <br /> and objectives of the Corporation and take an active interest and role in the operation of the <br /> Corporation. Members may serve on or chair committees and perform such functions as <br /> requested by the Chief or by the Board of Directors. Emergency operations members have <br /> the following non-exclusive classes: Provisional members, Regular members, and Resource <br /> members. Other classifications of members may be designated upon petition by any member <br /> and approval of a 2/3 majority of the membership. <br /> 2. Non-emergency members shall be those individuals meeting the requirements set forth herein <br /> and in the Corporation's current Standard Operations Manual. <br />
