5. Each officer shall hold office for a term of one (1)year, unless earlier terminated by death, <br /> resignation, retirement, removal, disqualification, or their successor shall have been elected <br /> and qualified. <br /> 6. Officers shall serve without compensation. <br /> 7. Any officer or agent may be removed by a three-quarter(3/4) majority vote of the full Board <br /> of Directors or a three quarter(3/4) majority vote of the voting membership of the <br /> Corporation. Any vacancies in office shall be filled in accordance with the provisions herein, <br /> provided, however,that the officer removed may not be re-elected to the vacancy created. <br /> Article VIII <br /> Duties of Officers <br /> 1. The Chief shall be the Chief Operating Officer of the Corporation and, subject to the <br /> supervision of the Board of Directors, shall in general supervise and control the operational <br /> affairs of the Corporation. The Chief or his designee shall attend all meetings of the Board of <br /> Directors, and shall preside at all meetings of the membership. The Chief shall be authorized <br /> to sign, with the Secretary, Treasurer, or other officer, any deeds, mortgages, bonds, <br /> contracts, or other instruments which the Board of Directors has authorized to be executed, <br /> except in cases where the signing and execution thereof shall be expressly delegated by the <br /> Board of Directors, or by the Bylaws, to some other officer or agent of the Corporation, or <br /> shall be required by law to be otherwise signed or executed; and in general shall perform all <br /> duties incident to the office of Chief and such other duties as may be prescribed by the Board <br /> of Directors. <br /> 2. The Assistant Chief(s) shall serve as Vice President(s) of the Corporation, subject to the <br /> direct supervision of the Chief, and responsible to the Board of Directors. The Assistant <br /> Chief(s) shall generally supervise daily operations, personnel, budget, and any other duties <br /> deemed necessary and proper by the Board of Directors or by the Chief In the absence of <br /> the Chief, or in the event of the Chief's death or inability or refusal to act the Board of <br /> Directors,by a 3/4 majority, shall designate a member to serve as Interim Chief, who shall <br /> perform the duties of Chief, and when so acting, shall possess all the powers of, and be <br /> subject to all the restrictions of, the Chief The Interim Chief shall serve until such time as a <br /> new Chief shall be elected as provided by the by-laws. <br /> 3. The Secretary shall keep the minutes of the meetings of the members, of the Board of <br /> Directors, and of all executive committees. Minutes shall be posted electronically to the <br /> SORS website and a paper copy shall be retained in the files of the corporation. The <br /> Secretary shall see that all notices are duly given in accordance with provisions of these <br /> Bylaws or as required by law; shall be custodian of the corporate records and of the seal of <br /> the Corporation; shall see that the seal is affixed to all documents executed on behalf of the <br /> Corporation as authorized herein; shall keep a register of the names, mailing addresses and <br /> other contact information for each member, as provided by each member for membership and <br /> insurance purposes; and shall in general perform all duties incident to the office of Secretary, <br /> or assigned to them by the Board of Directors or by the Chief <br />
