1 <br /> VI. TERMINATION AGREEMENT <br /> This Agreement may be terminated by either party upon seven (7) days' <br /> written notice should the other party fail, substantially to perform in <br /> accordance with its terms through no fault of the party initiating the <br /> termination. <br /> In the event of termination due to the fault of parties other than the <br /> ENGINEER, the ENGINEER shall be paid his compensation for services performed <br /> to termination date and all, termination expenses. <br /> VII. CONTRACT FOR ENGINEERING SERVICES CONTINGENT UPON PROJECT FINANCING <br /> - - <br /> It is understood and agreed between the parties that the ENGINEER'S <br /> responsibility to perform services beyond item 2A and the OWNER'S <br /> obligation to pay any fees under this agreement shall be contingent upon <br /> the ability of the ENGINEER and the OWNER to arrange a package (acceptable <br /> to the COUNTY) of grant and loan financing for the Efland Estates Sewers <br /> project. <br /> THIS AGREEMENT embodies the whole agreement of the OWNER, there being no promises, <br /> terms, conditions, or obligations referred to the subject matter other than <br /> contained herein. <br /> IN WITNESS WHEREOF, the said COUNTY OF ORANGE, NC has caused this instrument <br /> to be executed and attested, and the said THE JOHN R.
