44 <br /> current fiscal year pursuant to Article V, Section 4 of the <br /> Constitution of the State of North Carolina; and <br /> WHEREAS, the debt management policies of the County have been <br /> carried out in the strict compliance with law; <br /> NOW, THEREFORE, BE IT RESOLVED that the Contract and the <br /> Commitment Letter are hereby approved and that the action of the <br /> official or officials of the County in signing the Contract and the <br /> Commitment Letter on behalf of the County is hereby ratified, <br /> confirmed and approved; and <br /> BE IT FURTHER RESOLVED that the officers of the County,, <br /> jointly and severally, be, and are hereby, authorized, empowered <br /> and directed to negotiate the final form of the Contract, to sign <br /> on its behalf the Contract and any addenda, exhibits, schedules, <br /> deeds of trust, UCC financing statements or other instruments <br /> issued under the provisions of the Contract and any other <br /> instrument or document which may be necessary or expedient in <br /> connection with the fulfillment of the provisions of the Contract; <br /> and <br /> BE IT FURTHER RESOLVED that the foregoing Resolutions shall <br /> take effect immediately upon passage. <br /> I further certify that the individual (s) named below are the <br /> duly elected or appointed officers of the County holding the <br /> offices set forth opposite their respective names and titles are <br /> their true and authentic signatures and (ii) such officers have the <br /> authority on behalf of the County to enter into all documentation <br /> connected with the Contract. <br /> NAME TITLE SIGNATURE <br /> IN WITNESS WHEREOF, I have duly executed this certificate and <br /> affixed the seal of the County hereto, this day of January, <br /> 1995 . <br /> County Clerk <br /> (County Seal] <br />
