23 <br /> SECTION 1. DEFINITIONS <br /> For purposes of this Contract, in addition to any other terms <br /> defined herein, wherever used the following terms shall have the <br /> definitions set forth below: <br /> 1. 1 "Certificate as to Arbitrage" means the Certificate <br /> Regarding Qualification Under Certain Provisions of the Internal <br /> Revenue Code, in substantially the form of Exhibit A attached <br /> hereto and incorporated herein by reference, delivered by the <br /> County at the time of execution of this Contract . <br /> 1.2 "Deed of Trust" means the Deed of Trust, of even date <br /> herewith, from the County to a trustee for the benefit of the <br /> Lender, encumbering the Property as security for the County' s <br /> obligations to Lender for the repayment of the Financing Proceeds <br /> - advanced by Lender pursuant to this Contract . <br /> 1.3 "Installment Payments" means those payments made by the <br /> County to the Lender as described in Section 3 .1 of this Contract. <br /> 1.4 "Maturity Date" means 15, 20 <br /> 1. 5 "Plans and Specifications" refers to the plans and <br /> specifications for the Improvements prepared by the County' s <br /> architect and/or engineer. <br /> 1. 6 "Property" means the County's land and all improvements <br /> now or hereafter constructed thereon, as more particularly <br /> described on Exhibit B attached hereto and herein incorporated by <br /> this reference. <br /> SECTION 2 . ADVANCE OF FINANCING PROCEEDS <br /> 2 . 1 Advances by Lender. Subject to the terms and conditions <br /> of this Contract, Lender hereby agrees to advance to the County an <br /> aggregate amount of up to NINE MILLION, SIX HUNDRED THOUSAND AND <br /> NO/100 DOLLARS ($9 , 600, 000. 00) , representing the above-referenced <br /> Financing Proceeds. <br /> The Financing Proceeds shall be used solely for the purpose of <br /> constructing the Improvements. Interest shall accrue on the total <br /> amount of the advanced Financing Proceeds outstanding from time to <br /> time at a fixed rate of °s, to be paid in accordance with the <br /> provisions of Section 3 below. <br /> 2 .2 Security Instrument. All advances made by Lender to or <br /> for the benefit of the County under this Contract will be secured <br /> by the Deed of Trust, which shall constitute a first priority lien <br /> on the Property and a first priority security interest in any and <br /> all fixtures, equipment, appliances, furniture, furnishings and <br /> 2 <br />
