BAM <br /> Memorandum of Agreement between Orange County, North Carolina and the Dispute <br /> Settlement Center (DSC) <br /> 1. DSC will provide facilitation services to the Orange County Board of Commissioners in support of <br /> the Board's retreat scheduled to be held on Friday, January 27, 2017 from 9:00 am to 4:00 pm at a <br /> location to be determined by the County. <br /> 2. In particular, DSC will: <br /> (a) Assist the planning committee created by the Board in developing a program for the retreat. The <br /> program will include desired outcomes for the retreat; activities, formats and timeframes for the <br /> activities; logistics and room set up; preparatory assignments for Board members, as needed; role <br /> assignments, as needed; and retreat ground rules. <br /> (b) Serve as the retreat facilitator on the day of the retreat. <br /> (c) Conduct tasks after the retreat that might be identified and agreed to by DSC and the planning <br /> committee (e.g., drafting notes, retreat evaluation). <br /> 3. The County will provide or reimburse DSC for all materials and logistics necessary for this project, <br /> including but not limited to adequate meeting facilities, audio-visual equipment, photocopying, flip <br /> chart easels and pads, markers, tape, and retreat refreshments and meals. The County will <br /> reimburse DSC for automobile mileage for travel necessary to the project at the IRS rate in effect at <br /> the time of travel, which is currently $ .54 per mile. <br /> 4. In consideration for DSC's services described herein, the County will pay DSC $125/hour for all <br /> time provided by DSC to this project, including but not limited to time in travel, preparation, <br /> planning, consultations, set up, follow-up, evaluation, and on the day of the retreat. DSC will not <br /> provide more than 40 hours to the County under this contract unless both DSC and the County <br /> agree explicitly to exceed this limit. <br /> 5. The County will pay DSC's invoices within 30 days of receipt. Checks will be made payable to the <br /> order of the Dispute Settlement Center and mailed or delivered to DSC, 302 Weaver Street, <br /> Carrboro, NC 27510. DSC federal tax identification number is F56-1216584. <br /> 6. If one or more disputes related to this contract emerge between DSC and the County, then all <br /> relevant parties will seek resolution of the dispute by face-to-face problem-solving, facilitated by a <br /> mutually agreeable third party if necessary, before taking the grievance for resolution to any outside <br /> authority. <br /> Accepted b <br /> Date: <br /> �' Date: �/ <br />
