_____ammimmismommem <br /> • 154 <br /> shall be made to the Orange County Board of Education and shall <br /> be delivered at closing. Possession for each tract shall be <br /> delivered at closing. Each party agrees that during the term of <br /> this contract, the other party may go upon the respective tract <br /> to be conveyed to that Party for the purpose of inspecting the <br /> site at any time prior to the closing, provided that this <br /> agreement is still in full force and effect. <br /> 13. Ad valorem taxes for each parcel shall be <br /> pro-rated on a calendar year basis to the date of closing. Any <br /> ad valorem taxes on personal property for the entire year for <br /> each tract shall be paid by the present owner of each such parcel . <br /> Any late listing penalty shall be paid by the present owner of <br /> each parcel. <br /> 14. Any and all deeds of trusts, liens, or other <br /> • <br /> charges against the property must be paid and cancelled by the <br /> present owners of such parcel prior to or at closing. Upon <br /> request, each party agrees to furnish an affidavit and <br /> indemnification agreement in a form satisfactory to the other <br /> showing that all labor and/or materials, if any, furnished to <br /> the property within one hundred twenty (120) days prior to the <br /> date of closing have been paid and agreeing to indemnify the <br /> other against all loss from any cause or claim arising therefrom. <br /> 15. Each party agrees to execise their best efforts to <br /> deliver to the other as soon as reasonably possible after the <br /> signing of this agreement by all parties, copies of any title <br /> information in possession of or available to each such party, <br /> including, but not limited to title insurance policies, attorneys <br /> 6 <br />
