OC-2 <br /> The second payment will be made upon satisfactory <br /> completion of all services under the terms of this <br /> agreement. <br /> All billing must be submitted within 6 weeks after <br /> termination date of contract or by June 20 of the fiscal <br /> year in which the contract terminates, which ever is <br /> earlier. Billings not submitted timely may not be paid. <br /> If billing cannot be submitted timely, the Governor's Waste <br /> Management Board should be notified before expenditures are <br /> incurred. <br /> (2) No other expenses or cost will be levied by the Contractor <br /> on the Department. <br /> 3. Either party may terminate this agreement at any time by ten days <br /> prior written notice to the other party. In that event, all finished or <br /> unfinished documents and other materials as described in Paragraph 1 shall, at <br /> the option of the Departmer. become its property. If the contract is <br /> terminated as provided herei:. ze Contractor will be paid in an amount which <br /> bears the same ratio to the :al compensation as the services actually <br /> performed. <br /> 4. It is understood and agreed between the Contractor and the Department <br /> that the payment of compensation specified in this agreement, its continuation <br /> or any renewal or extension thereof, is dependent upon and subject to the <br /> allocation of appropriation of funds to the Department for the purpose set <br /> forth in this agreement. <br /> 5. The Department may, from time to time, require changes in the scope <br /> of the services of the Contractor to be performed under this agreement. Such <br /> changes, including but not limited to any renewal or extension, that increase <br /> or decrease the amount of the Contractors compensation, which are mutually <br /> agreed upon by and between the Contractor and the Department, shall be <br /> incorporated in written amendments to this contract after being approved by <br /> the North Carolina Department of Human Resources Purchasing Office. <br /> 6. Certain work products outlined in Attachment C. <br /> 7. The Contractor agrees to provide the Governors Waste Management Board <br /> any information, data, documents, studies, or reports given to or prepared or <br /> assembled by the Contractor under this agreement shall be kept as confidential <br /> and not divulged or made available to any individual or organization without <br /> the prior approval of the Department, and shall be made available to the <br /> Department no later than June 20, 1988. <br /> 8. The Contractor agrees that the State may have the right to audit the <br /> records of the Contractor pertaining to this contract both during performance <br /> and after completion. <br /> 9. Dr. Linda Little is designated as the Contract Administrator (project <br /> coordinator) for the State with responsibility for all matters relating to <br /> 2 <br />
