, 3 <br /> agreement shall require the Association to make any expenditure of <br /> funds or provide any other consideration to obtain the land. Upon <br /> its obtaining title to this land, the Association will promptly <br /> accomplish the abandonment of the existing Subdivision system <br /> components related to treatment of wastewater and the monitoring <br /> wells related thereto as specified by applicable COUNTY and State <br /> regulations . Thereafter, the Association will dedicate this land <br /> for the use and enjoyment of the residents in the Subdivision as <br /> permanent open space, free of all encumbrances save current <br /> property taxes . All instruments of dedication and evidence of <br /> title shall be in form and substance approved by the COUNTY. <br /> 9 . The ASSOCIATION, for itself and its members personally, <br /> covenants and agrees to indemnify and hold harmless the COUNTY and <br /> OWASA, their board members, officials and employees, from any claim <br /> against either arising out of or related to the oversight, approval <br /> design and construction or reconstruction or repair of the <br /> Subdivision wastewater system and the STEP systems . This indemnity <br /> includes responsibility, on the part of the ASSOCIATION, to pay the <br /> reasonable attorneys fees of the attorneys selected by the COUNTY <br /> and OWASA to represent each in the event of litigation or <br /> threatened litigation wherein the COUNTY and OWASA or either of <br /> them are named or threatened and the responsibility to pay such <br /> reasonable litigation expenses, and any judgment entered against <br /> either, of the COUNTY or OWASA in the defense of the litigation or <br /> threatened litigation. <br /> 9 <br />
