In the e -nt of <br /> prospective termination due to non-receipt of fu =s with <br /> which to carry out the provisions of this cont -ct the COG <br /> may terminate this Contract by giving writte notice to the <br /> Agency of such termination and specifying . e effective date <br /> of such termination. In the event such • itten notice is <br /> given, all finished or unfinished do „ -nts and other materials <br /> as described in paragraph 15 above s -11, at the option of <br /> the COG, become its property (subje. to full accessibility <br /> thereto by the Agency) and the Ag.. cy will be paid an amount <br /> which bears the same ratio to th- total compensation as the <br /> services actually performed be- to the total services. <br /> The Agency knowledges that if the work of the Agency covered <br /> by this Contract, less pa is of compensation previously <br /> made: Provided, however, - ht if less than 60 percent of <br /> the services covered by iis Contract have been performed <br /> upon the effective date •f such termination, the Agency <br /> shad be reimbursed (i addition to the above payment) for <br /> that portion of the a•tual out-of-pocket expenses (not <br /> otherwise reimbursed under this Contract) incurred by the <br /> Agency during the Contract period which are directly attributable <br /> to the uncomplete• portion of the services. covered by this <br /> Contract.
